Spencer Acquires Hot Topic from Sycamore

Combined trendy retailers expect to gain synergies but retain operational independence.

Spencer Spirit Holdings Inc. (Egg Harbor, N.J.) announced it has signed a definitive agreement to acquire Hot Topic Inc. (City of Industry, Calif.) from private-equity firm Sycamore Partners. The transaction “unites six iconic, highly complementary retail concepts under one umbrella, expanding the combined company’s total footprint to more than 3000 stores across North America,” Sycamore said in a news release.

Though Sycamore’s statement did not provide a price tag for the deal, Bloomberg and other sources pegged it at about $350 million.

Spencer Spirit Holdings’ brands are Spencer’s, which sells trend-driven lifestyle products spanning apparel, jewelry and accessories, along with Spirit Halloween and Spirit Christmas. (The latter two brands mainly operate seasonal pop-up stores tied to their respective holidays.) Hot Topic operates its namesake brand along with BoxLunch and Her Universe.

Said Steve Vranes, CEO of Hot Topic: “This partnership marks an exciting milestone for our brands, team members, and customers. By joining a complementary portfolio while maintaining our operational independence, we can build on the tremendous growth our teams have delivered over the past decade and drive even more opportunities for expansion.”

Hot Topic and its brands will continue to operate out of their current California home base once the transaction closes. (That’s expected to take place in the third quarter of this year.)
